Terms & Conditions

These terms apply when Red Cord Collective provides marketing services to a business, organisation or other professional client.

​

They are designed for business-to-business work.

​

If someone is purchasing services wholly or mainly as an individual consumer rather than for business purposes, they should contact Red Cord Collective before agreeing a project because different legal rights may apply.

1. Agreeing a project

​

Before work begins, the project will normally be agreed through a proposal, scope of work, quotation, email confirmation, invoice or another written description of the services.

​

That project-specific information and these Terms & Conditions together form the agreement between Red Cord Collective and the client.

​

If project-specific written terms conflict with these general Terms & Conditions, the project-specific wording will take priority for that project.

​

2. Scope of work

​

Each project includes only the work described in the agreed scope.

Anything outside that scope is not automatically included.

​

Additional work can be quoted and agreed separately.

​

Red Cord Collective is not required to provide additional services, ongoing support or work outside the agreed scope unless this is separately agreed.

​

3. Revisions

​

The number of included revisions will be stated in the relevant service description, proposal or project scope.

​

Where one revision round is included, this means one consolidated and reasonable set of changes supplied by the client.

​

Additional revision rounds, substantial changes of direction or new requirements may be quoted separately.

​

4. Client responsibilities

​

The client is responsible for providing the information, materials, access and feedback reasonably needed to complete the work.

​

The client should:

  • provide accurate information

  • supply requested materials within a reasonable timeframe

  • make sure they have permission to use content, photographs, logos, trademarks and other materials they provide

  • provide access to relevant websites, systems or platforms where required

  • give clear and consolidated feedback

  • review work carefully before approving it

  • ​

Delays in providing information, access or feedback may affect project timescales.

5. Timelines

 

Any estimated turnaround begins when Red Cord Collective has received the information, materials, access and payment required to start the project.

​

Project dates are estimates unless a specific deadline has been expressly agreed in writing.

​

Client delays, late feedback, changes to scope or circumstances outside Red Cord Collective's reasonable control may move the completion date.

​

6. Fees and payment

​

Fees are quoted in pounds sterling unless stated otherwise.

​

The payment schedule will be stated in the proposal, quotation or invoice.

​

Where a deposit or advance payment is required, work will normally begin once that payment has been received.

​

Invoices must be paid by the due date shown on the invoice.

​

Where an invoice is overdue, Red Cord Collective may pause work or withhold final deliverables until payment is received.

​

Red Cord Collective reserves any statutory rights relating to interest or charges on overdue business invoices.

​

7. Cancellations and project pauses

​

If a client cancels a project after work has started, the client will be responsible for paying for work completed up to the cancellation date and any non-refundable third-party costs incurred for the project.

​

Any deposit already paid will be applied against those amounts.

​

If a project is paused for an extended period because required client information, feedback or access has not been supplied, Red Cord Collective may reschedule the remaining work according to availability.

​

8. Final deliverables and intellectual property

​

Once all invoices relating to a project have been paid in full, the client may use, publish, reproduce and adapt the final approved deliverables supplied for that project indefinitely unless otherwise agreed in writing.

​

Red Cord Collective retains ownership of its underlying methods, processes, working approaches, know-how, reusable systems and pre-existing templates.

​

Drafts, unused concepts and working files are not included in the final deliverables unless specifically agreed.

​

Third-party assets, software, fonts, photographs, templates or other licensed material remain subject to the licence terms of their respective owners.

​

9. Canva and editable files

​

Where editable Canva files or similar resources are supplied, the client is responsible for maintaining any account, subscription, access or licensing required to continue using those resources.

​

Some template elements, fonts, photographs or other assets may require an appropriate licence or subscription.

​

10. Third-party platforms

​

Projects may involve third-party platforms such as Wix, WordPress, Squarespace, Canva, email marketing systems, social media platforms, analytics services and other software.

​

Red Cord Collective does not control these providers and cannot guarantee their continued availability, functionality, pricing, policies or technical performance.

​

Changes made by third-party providers may affect work completed using those platforms.

​

11. AI-assisted working

​

Red Cord Collective may use AI-assisted tools as part of its working process, including for research, ideation, drafting, analysis or production.

​

AI is used as a working tool rather than as a substitute for professional judgement.

​

Work supplied to the client is reviewed, edited and shaped before delivery.

 

12. Client approval and accuracy

​

The client is responsible for reviewing final work before publication or use.

This includes checking:

  • names

  • dates

  • contact details

  • prices

  • offers

  • factual claims

  • legal or regulatory wording

  • permissions

  • licences

  • ​

Where specialist legal, financial, medical, regulatory or other professional advice is required, the client should obtain that advice from an appropriately qualified professional.

13. Marketing outcomes

​

Marketing results are influenced by many factors outside the control of Red Cord Collective.

​

Red Cord Collective does not guarantee:

  • sales

  • enquiries

  • leads

  • search rankings

  • follower growth

  • engagement levels

  • media coverage

  • revenue

  • any other particular commercial result

  • ​

Red Cord Collective will provide the agreed services with reasonable care and skill.

​

14. Confidentiality

​

Red Cord Collective will treat confidential business information provided by the client as confidential and will not intentionally disclose it to third parties except where necessary to provide the agreed services or where disclosure is required by law.

​

The client should identify particularly sensitive or confidential information where appropriate.

​

15. Portfolio and case study use

​

Red Cord Collective may ask for permission to show completed work in its portfolio, website or marketing materials.

​

Client work will not be presented as a public case study without appropriate permission.

​

16. Liability

​

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

​

To the extent permitted by law, Red Cord Collective will not be responsible for indirect or consequential losses, anticipated profits or business opportunities, or losses caused by inaccurate information supplied by the client, third-party services, or changes made to work after delivery by someone other than Red Cord Collective.

​

Where liability can lawfully be limited, Red Cord Collective's total liability for an ordinary claim relating to a project will not exceed the fees paid to Red Cord Collective for that project.

​

17. Ending the agreement

​

Either party may end the agreement if the other commits a serious breach and, where the breach can reasonably be corrected, fails to correct it within a reasonable period after being asked to do so.

​

Red Cord Collective may suspend or end work where invoices remain unpaid.

​

Ending the agreement does not remove the client's responsibility to pay fees already due for work completed or costs properly incurred.

​

18. Events outside our control

​

Red Cord Collective will not be responsible for delays or failure to perform caused by circumstances outside its reasonable control.

​

This may include major technical failures, outages affecting third-party platforms, serious illness, natural events or other circumstances that could not reasonably have been prevented.

​

19. Governing law

​

These terms are governed by the laws of England and Wales.

​

The courts of England and Wales will have jurisdiction unless applicable law requires otherwise.

​

20. Changes to these terms

​

These Terms & Conditions may be updated from time to time.

​

For an agreed project, the version in effect when that project was agreed will normally apply unless a later change is agreed between Red Cord Collective and the client.
